1. Introduction
Welcome to Disasterfield, a service provided by VEXSL Canada Inc. By enrolling in the Disasterfield Global Multi-User Coordination System ("Disasterfield GMUCS"), including any tier of the Disasterfield Ready program, you (the "User") agree to be bound by these Terms and Conditions.
2. Purpose of Service
Disasterfield GMUCS is designed to enhance communication, situational awareness, and visibility of personnel and assets to assist Users in their disaster readiness, response, and recovery planning. Disasterfield provides notifications regarding inbound threats such as wildfires through digital geofencing and related monitoring services.
3. No Government Replacement or Supersession
Disasterfield GMUCS is not intended to replace or supersede government-issued directions, warnings, or orders at any level. Users are advised to follow all government-issued instructions during emergency events.
4. Notification Service and Limitations
Disasterfield may provide notifications via text, email, or in-app notifications when inbound threats are detected and when geofencing perimeters are breached. The scanning intervals and delivery of data are executed with urgency, but VEXSL Canada Inc. does not guarantee uninterrupted, real-time, or error-free service. Notifications are provided as a suggestive tool to enhance User preparedness but are not guaranteed to prevent damage or loss.
5. User Responsibilities
Users are responsible for:
- Ensuring contact information provided is accurate and updated.
- Following their own emergency preparedness and evacuation plans.
- Using the Disasterfield system as an advisory tool only.
6. No Warranty
VEXSL Canada Inc. provides Disasterfield "AS IS" and "AS AVAILABLE" without any warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
7. Limitation of Liability
To the maximum extent permitted by applicable law:
- VEXSL Canada Inc. shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to personal injury, death, property damage, loss of profits, data loss, or other losses, arising out of or in connection with your use of or inability to use Disasterfield.
- VEXSL Canada Inc. is not liable for decisions made by the User based on notifications or data received from Disasterfield, including but not limited to evacuation decisions, sheltering, or asset relocation.
- VEXSL Canada Inc. is not responsible for failures in communication infrastructure, power
outages, network delays, or other factors outside its control.
8. Indemnification
User agrees to indemnify, defend, and hold harmless VEXSL Canada Inc. and its officers, directors, employees, contractors, agents, affiliates, and licensors from and against any claims, liabilities, damages, losses, and expenses, including legal and accounting fees, arising out of or in any way connected with Userโs access to or use of Disasterfield or violation of these Terms.
9. System Monitoring and Support
VEXSL Canada Inc. will monitor system health and perform technical support and troubleshooting but does not guarantee resolution times or uninterrupted system availability.
10. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of Alberta, Canada, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved through binding arbitration in Calgary, Alberta.
11. Changes to Terms
VEXSL Canada Inc. reserves the right to modify these Terms at any time. Continued use of Disasterfield after such changes constitutes your acceptance of the new Terms.
